1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “user”) and Situfix Ventures LLC (“Situfix,” “we,” “us,” or “our”). By accessing or using any website, mobile application, or digital service operated by Situfix Ventures LLC that links to these Terms, you agree to be bound by these Terms in full. If you do not agree to these Terms, you must not access or use our services.
Situfix Ventures LLC operates multiple independent brands and digital properties. Each property may maintain its own Terms of Service and Privacy Policy governing user interactions specific to that platform. Where brand-specific Terms of Service exist, those terms take precedence over these corporate Terms with respect to the use of that particular product or service. These corporate Terms apply to the Situfix Ventures LLC website and any properties that do not have their own standalone Terms.

Without limitation, you agree not to: violate any applicable local, state, national, or international law or regulation; infringe upon the intellectual property, privacy, or other rights of any third party; transmit any content that is unlawful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable; attempt to gain unauthorized access to our systems, networks, or other users’ accounts; interfere with or disrupt the integrity or performance of our services; use automated means (including bots, scrapers, or crawlers) to access our services without our prior written consent; or impersonate any person or entity, or misrepresent your affiliation with any person or entity.
6. Intellectual Property
All content, features, and functionality of our services, including but not limited to text, graphics, logos, trademarks, service marks, images, software, and code, are the exclusive property of Situfix Ventures LLC or its licensors and are protected by United States and international intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, or otherwise exploit any of our content without our prior written permission.
Any feedback, suggestions, or ideas you provide to us regarding our services may be used by us without restriction, compensation, or obligation of confidentiality.
7. Third-Party Services and Links
Our services may integrate with or contain links to third-party websites, applications, or services. These third-party services are not under our control, and we are not responsible for their content, privacy practices, or availability. Your use of third-party services is at your own risk and subject to the terms and policies of those third parties. Inclusion of any link does not imply endorsement by Situfix Ventures LLC.

OUR SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SITUFIX VENTURES LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM SITUFIX VENTURES LLC OR THROUGH OUR SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SITUFIX VENTURES LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, OUR SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OUR SERVICES; (C) ANY CONTENT OBTAINED FROM OUR SERVICES; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO OUR SERVICES EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100.00) OR THE AMOUNT YOU HAVE PAID TO SITUFIX VENTURES LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
10. Indemnification
You agree to indemnify, defend, and hold harmless Situfix Ventures LLC, its officers, directors, members, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: your use of our services; your violation of these Terms; your violation of any rights of a third party; or any content you submit, post, or transmit through our services.
11. Dispute Resolution and Arbitration
Informal Resolution: Before initiating any formal dispute resolution proceeding, you agree to first contact us at the address provided in Section 16 to attempt to resolve any dispute informally. We will attempt to resolve the dispute through good faith negotiation for a period of at least thirty (30) days.
Binding Arbitration: If a dispute cannot be resolved informally, you and Situfix Ventures LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or our services shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. Arbitration shall take place in the state where Situfix Ventures LLC maintains its principal place of business, or at another mutually agreed-upon location, or virtually as permitted by the AAA rules.
Class Action Waiver: YOU AND SITUFIX VENTURES LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.
Exceptions: Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the jurisdiction of such court, and either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in San Diego County, California.
13. Modifications to Terms
We reserve the right to modify these Terms at any time at our sole discretion. When we make material changes, we will update the “Last Updated” date at the top of this page. Your continued use of our services following the posting of revised Terms constitutes your acceptance of those changes. If you do not agree to the modified Terms, you must discontinue use of our services.
14. Termination
We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use our services will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification, and dispute resolution.
15. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction or arbitrator, the invalidity of that provision shall not affect the validity of the remaining provisions, which shall continue in full force and effect.
